If he's a truly good friend:
a) You shouldn't need to consult us. Ask him how much he wants to pay for it.
b) Definitely sell it to him for the amount you have in it, and then reduce that amount based on wear-and-tear from you owning it (i.e. tires, mileage)
c) He should already know its background from how good/bad you treat it, and therefore should also not complain if problems arise thereafter with the vehicle.
Those are just my opinions.
